This Digital Content License governs digital files purchased from PLI LLC through PartyTopiie checkout and design elements exported from PartyTopiie’s Party Tools.

1. License Grant

Subject to payment when required and compliance with this License, PLI LLC grants the purchaser a non-exclusive, worldwide, non-transferable, non-sublicensable license to use the applicable digital content for:

Personal party and event projects;
Physical finished items for the purchaser’s own events;
Small-business event services performed directly for the purchaser’s clients; and
Physical finished items produced directly for those client events.

There is no numerical limit on physical finished items created for these permitted uses. This does not authorize a merchandise line, wholesale or mass-market program, digital redistribution, stock-library use, or use through a print-on-demand marketplace.

2. Permitted Examples

Subject to the restrictions below, permitted uses include placing licensed content in an invitation, cake topper, cupcake topper, favor tag, banner, sign, label, table card, sticker, garment, mug, or comparable physical party item for the purchaser’s own event or a direct client event.

The purchaser may resize, place, and combine the content with lawful text, backgrounds, or layouts as reasonably necessary for a permitted finished item.

3. Prohibited Uses

The purchaser may not:

Sell, share, gift, transfer, upload, or distribute the original digital file or a substantially extractable version;
Sell or distribute an editable template, digital invitation, digital printable, design asset, clip art, font, SVG, PNG, PDF, or other digital product derived from the content;
Upload content to a stock library, template or asset marketplace, shared drive, public repository, external AI service, or model-training dataset;
Use content through a print-on-demand, dropshipping, fulfillment marketplace, or automated merchandise service;
Build a general merchandise line, wholesale catalog, or mass-distribution program from the content;
Extract, isolate, trace, reconstruct, or provide individual design elements for reuse by another person;
Use content as, or as a material part of, a trademark, service mark, business logo, domain name, or source identifier;
Claim ownership of PartyTopiie content or remove a required rights notice;
Use content for unlawful, deceptive, defamatory, hateful, exploitative, or rights-infringing activity; or
Use one purchaser’s license to supply reusable digital files to multiple businesses, clients, or unrelated users.

4. Client Work and Production Vendors

For permitted small-business client work, the purchaser must control production of the finished item. The purchaser may provide the physical finished item to the client, but not the reusable digital file.

A printer or production vendor may receive the file only to produce the specific permitted order for the purchaser. The vendor must not reuse or disclose it and must delete it after production. This limited production permission does not allow upload to a public or reusable vendor library.

5. Party Tools

Party Tools may export a design element such as a transparent PNG. A Tool output is not a complete invitation or print-ready layout. The user remains responsible for canvas size, bleed, resolution, background, supporting text, print settings, accessibility, and proofing.

The permitted-use and prohibited-use rules in this License apply to exported Tool outputs. Tool processing is transient; PartyTopiie does not store the user’s Tool input or output. Exporting an output does not guarantee that it is unique, exclusive, registrable, or suitable for every production process.

6. Customer Material

The purchaser retains rights already held in names, text, photos, or other material lawfully supplied for customization or Tool use. The purchaser represents that they have the rights and permissions needed for that material. This License does not transfer ownership of the purchaser’s underlying lawful material to PLI LLC.

7. Ownership and Rights Review

PLI LLC, approved creators, and their licensors retain ownership of the digital content and underlying intellectual property. A purchase or export grants a license, not ownership.

PartyTopiie permits a digital product, brand or character theme, font, image, or Tool preset to be offered only after the applicable ownership or license basis has been documented and reviewed. PartyTopiie may suspend access while investigating a credible rights concern. A purchaser who receives an affected file may seek a remedy under the Purchase Protection Policy.

8. Refunds and Termination

If an order is fully refunded, the license to the refunded files terminates. The purchaser must stop using and delete those files, except to the extent applicable law requires otherwise.

PLI LLC may terminate this License for a material breach. Sections concerning ownership, prohibited uses, refunds, termination, and accrued claims survive termination.

9. Mandatory Rights

Nothing in this License excludes or limits a right that cannot lawfully be waived under applicable law.
