PARTYTOPIIE SELLER SERVICE AGREEMENT

This Seller Service Agreement ("Agreement") governs your access to and use of PartyTopiie's seller tools and marketplace services. By registering as a seller, listing any product, or fulfilling any order on PartyTopiie, you ("Seller," "you," "your") agree to this Agreement.

1. DEFINITIONS

1.1 "Marketplace" means PartyTopiie.com and related seller tools, dashboards, and services.

1.2 "Digital Products" means digital files and digital customization/design services delivered electronically, including but not limited to PDF/PNG/JPG/SVG and other digital deliverables.

1.3 "Order" means a transaction placed by a buyer for Seller's Digital Products through the Marketplace.

1.4 "Buyer Data" means information and materials provided by a buyer to complete an Order, including photos, names, dates, messages, and other personalization inputs.

1.5 "Policies" means PartyTopiie's posted terms, policies, and program rules, including the Terms of Service, Privacy Policy, Cookie Policy, Purchase Protection Program rules, Refund Policy, and any seller rules, guidelines, or documentation published in the seller dashboard or otherwise made available by PartyTopiie.

1.6 "Seller Quality" means PartyTopiie's quality measurement and enforcement program described in Exhibit A.

2. INCORPORATION; UPDATES; PRIORITY

2.1 This Agreement incorporates the Policies by reference.

2.2 PartyTopiie may update this Agreement or any Policies by posting an updated version on the Marketplace or in the seller dashboard. Continued selling after an update constitutes acceptance.

2.3 If there is a conflict between this Agreement and the Policies, PartyTopiie may determine which provision controls for the specific issue and may apply the provision that better protects Marketplace integrity, buyers, and Platform risk management, to the maximum extent permitted by law.

3. ELIGIBILITY; ACCOUNT RESPONSIBILITY

3.1 You represent that you have legal authority to enter this Agreement and operate a lawful business.

3.2 You must provide accurate business, contact, and tax information and keep it current.

3.3 You are responsible for all activity under your account and must maintain reasonable security measures.

4. INDEPENDENT SELLER RELATIONSHIP

Seller is an independent business and not an employee, agent, or partner of PartyTopiie. Seller is solely responsible for its Digital Products, content, and fulfillment, except that PartyTopiie manages buyer-facing customer support as described in Section 8.

5. LISTINGS; ACCURACY; PROHIBITED CONDUCT

5.1 Every listing must be accurate, complete, and not misleading, including what the buyer receives (file formats, sizes, included pages/components), customization requirements (photos, text, deadlines, limitations), delivery timeline, revision terms (if any), and license terms (if any).

5.2 You must not make claims inconsistent with what you deliver.

5.3 You must not divert buyers off-platform, manipulate reviews, engage in fraud, upload malicious files, or violate applicable laws or Policies.

6. DIGITAL FULFILLMENT AND QUALITY STANDARDS

6.1 Delivery Time Standard. Unless a listing states a different time and PartyTopiie permits it, Seller must support a baseline expectation that customized digital deliverables are provided within 24 hours after Seller receives all required Buyer Data needed to fulfill the Order.

6.2 Delivery Method. Seller must deliver Digital Products only through PartyTopiie-approved methods and must not require off-platform delivery or payment.

6.3 File Quality Minimums. Delivered files must (a) open correctly and be usable; (b) match the listing's promised format(s) and included components; and (c) be reasonably print-ready when marketed as print-ready.

6.4 Correction Requirement. If PartyTopiie determines that a delivery is corrupted, unusable, in the wrong format, missing key components, or otherwise defective, Seller must provide corrected replacement files within 12 hours of PartyTopiie's request.

6.5 Fulfillment Evidence for Digital Products. Because Orders involve Digital Products only, fulfillment is deemed complete when PartyTopiie's systems record one or more of the following: (a) generation of a download link or download access for the buyer's account; (b) dispatch of an email containing a download link or digital delivery notice to the buyer; or (c) other Platform delivery logs demonstrating availability of the Digital Product to the buyer. PartyTopiie's system records will be used as primary evidence of fulfillment for disputes, chargebacks, and program claims, unless Seller demonstrates a material system error with credible evidence.

6.6 Customization Accuracy. Seller must ensure personalization is accurate. Seller-caused errors must be corrected promptly at no additional charge to the buyer as directed by PartyTopiie.

6.7 Revisions and Buyer Satisfaction. Seller must provide reasonable revisions, remakes, and adjustments as directed by PartyTopiie to address buyer dissatisfaction, including subjective preferences (e.g., the buyer does not like the design), formatting, missing elements, resolution issues, spelling, or color concerns. If PartyTopiie cancels an Order (including due to a refund), Seller must immediately stop work and must not deliver any further files to the buyer for that canceled Order.

7. SELLER RESPONSIBILITY

Seller's responsibility is product and fulfillment quality, including on-time delivery, correctness, file usability, and compliance with content, privacy, and intellectual property requirements. PartyTopiie manages buyer-facing customer support. Seller must cooperate with PartyTopiie to resolve issues.

8. CUSTOMER SUPPORT MANAGED BY PARTYTOPIIE

8.1 PartyTopiie is the primary support channel for buyers, including disputes, program claims, and refund requests. Seller must not instruct buyers to bypass PartyTopiie support.

8.2 Seller must respond to PartyTopiie support requests within 12 hours and must provide requested documentation and corrective actions to enable resolution.

8.3 Seller may contact a buyer only if PartyTopiie authorizes it and only for fulfillment-critical purposes, using PartyTopiie-approved channels and instructions.

9. REFUNDS, ADJUSTMENTS, AND PROGRAMS

9.1 Buyer-Facing Remedies; Priority of Resolution. PartyTopiie is the primary support channel for buyers and may provide remedies (including revisions, replacement, partial refund, full refund, or cancellation) in accordance with the Policies. As a general rule, PartyTopiie will attempt to resolve issues through revisions and corrections first, and will coordinate with Seller to deliver a satisfactory result.

9.2 Refunds; No Seller Payout on Refunded Orders. If PartyTopiie approves or issues a refund (full or partial), credit, or cancellation with refund for an Order for any reason (including buyer dissatisfaction), that Order (or the refunded portion) will not be payable to Seller. If the amount was previously included in Seller earnings, PartyTopiie may reverse it and recover it from future payouts as described in Section 9.6 and Section 10.

9.3 Fraud. PartyTopiie bears the risk of third-party payment card fraud (e.g., stolen card use) and will not seek recovery from Seller for fraud losses or related fees, unless PartyTopiie determines Seller participated in, enabled, or knowingly benefitted from fraud or policy violations.

9.4 Disputes/Chargebacks Due to Delivery or Product Issues. If a buyer initiates a dispute/chargeback and the reason is non-delivery, a defective or incorrect file, significant mismatch, or other product/delivery-related issue attributable to Seller performance or non-compliance, Seller is responsible for the disputed amount and associated dispute/processing fees to the maximum extent permitted by law. PartyTopiie may recover these amounts via offsets as described in Section 9.6 and Section 10.

9.5 Purchase Protection Program. PartyTopiie may administer a Purchase Protection Program and may require Seller actions including revisions, corrections, replacements, redelivery, or reimbursement. Seller must comply with PartyTopiie's resolution instructions and timelines, including the 12-hour correction requirement in Section 6.4.

9.6 Offsets and Recovery. Where permitted by law, PartyTopiie may recover amounts described in this Section 9 (including refunds, credits, reversals, reimbursements, and delivery/product-related dispute amounts and fees) from Seller payouts, may set off related costs (including processing and investigation costs), and may maintain a running balance in Seller's account.

10. FEES; PAYOUTS; RESERVES

10.1 Payout Basics. Seller payouts are made by bank transfer (or other method PartyTopiie approves) to the bank account information Seller provides. Payouts are generally issued on a periodic basis, but in no event later than 30 days after an Order is completed and no longer subject to routine processing review (including review for refunds, disputes/chargebacks, fraud screening, policy violations, and risk controls). PartyTopiie may establish a minimum payout threshold of $50; if Seller has not reached the threshold, amounts may roll over to the next payout period.

10.2 Holds, Reserves, and Deductions. PartyTopiie may delay payouts, place reserves/holds, or deduct amounts to manage risk and reconcile account balances, including for refunds, credits, delivery/product-related disputes/chargebacks, processing fees, suspected fraud, policy violations, or poor Seller Quality. If Seller's account balance becomes negative, PartyTopiie may offset the negative balance against future payouts and may require Seller to promptly pay amounts due where permitted by law.

11. TAXES

11.1 Seller is responsible for its own tax compliance, including income tax reporting and any obligations applicable to Seller's business.

11.2 PartyTopiie may collect or remit transaction taxes in some jurisdictions, and may adjust payouts accordingly. If an Order is refunded or reversed, tax amounts may be adjusted and payouts may be reconciled.

12. BUYER DATA; PRIVACY AND SECURITY

12.1 Seller may use Buyer Data only to fulfill the Order and to perform corrections requested by PartyTopiie.

12.2 Seller must not sell, share, publish, reuse, or exploit Buyer Data (including photos) for advertising, portfolio display, or AI training without explicit buyer permission and PartyTopiie approval where required.

12.3 Seller must implement reasonable safeguards to protect Buyer Data and must promptly notify PartyTopiie of any suspected incident involving Buyer Data.

12.4 Retention; Deletion. Seller must retain Buyer Data (including photos) only for as long as necessary to fulfill the Order and complete any revisions requested by PartyTopiie, and in any event no longer than 90 days from delivery or cancellation, unless a longer period is required by law or necessary to handle disputes, enforce this Agreement, or maintain security. After the retention period, Seller must securely delete or irreversibly anonymize Buyer Data.

13. INTELLECTUAL PROPERTY

13.1 Seller represents and warrants that it owns or has valid rights and licenses for all content used in listings and delivered files, including images, fonts, templates, trademarks, and likenesses.

13.2 Seller grants PartyTopiie a non-exclusive, worldwide, royalty-free license to host, display, reproduce, translate, resize, and distribute Seller listing content and previews for operating and promoting the Marketplace.

13.3 PartyTopiie may remove listings or suspend Seller upon credible infringement claims or evidence of unauthorized use.

14. ENFORCEMENT; SUSPENSION; TERMINATION

14.1 PartyTopiie may take actions including listing removal, reduced visibility, payout holds/reserves, suspension, or termination for poor Seller Quality, repeated late delivery, high defect or mismatch rates, policy violations, infringement, fraud, or Buyer Data misuse.

14.2 Upon suspension or termination, Seller must complete open Orders if instructed by PartyTopiie or comply with refund instructions. Provisions that by their nature should survive will survive termination.

15. DISCLAIMERS; LIMITATION OF LIABILITY

15.1 To the maximum extent permitted by law, the Marketplace is provided "as is" and "as available."

15.2 To the maximum extent permitted by law, PartyTopiie will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, or loss of data.

15.3 PartyTopiie's total liability for any claim arising out of or relating to this Agreement will not exceed the total fees paid by Seller to PartyTopiie in the three months immediately preceding the event giving rise to the claim.

16. INDEMNITY

Seller will defend, indemnify, and hold harmless PartyTopiie from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Seller's products, content, infringement, violations of law or Policies, misuse of Buyer Data, or breach of this Agreement.

17. GOVERNING LAW; DISPUTE RESOLUTION; WAIVERS

17.1 Governing Law. This Agreement is governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

17.2 Binding Arbitration. Except as stated in Section 17.3, any dispute, claim, or controversy arising out of or relating to this Agreement, the Marketplace, Orders, payouts, Seller Quality, or the Policies will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The seat of arbitration will be Cheyenne, Wyoming. The arbitration will be conducted in English.

17.3 Injunctive Relief; Platform Protection. PartyTopiie may seek temporary, preliminary, or permanent injunctive relief and other equitable relief in state or federal court located in Wyoming to protect its intellectual property, confidential information, security, to prevent fraud or misuse of Buyer Data, or to enforce restrictions on access to the Marketplace, without waiving arbitration for other claims.

17.4 Class Action Waiver. Disputes must be brought on an individual basis only. Seller waives any right to participate in class, collective, representative, or private attorney general actions.

17.5 Jury Trial Waiver. To the maximum extent permitted by law, Seller and PartyTopiie waive any right to a jury trial in any proceeding that is permitted to proceed in court.

18. NOTICES; CONTACT INFORMATION

18.1 PartyTopiie may provide notices via email, the seller dashboard, or postings on the Marketplace.

18.2 Seller notices to PartyTopiie must be sent to support@partytopiie.com unless PartyTopiie designates another address.

19. DIGITAL PRODUCTS ONLY

Physical products and shipping fulfillment are not permitted under this Agreement at this time. Any future enablement of physical products requires PartyTopiie's explicit approval and may require an addendum or updated Policies.

EXHIBIT A — SELLER QUALITY PROGRAM (DIGITAL ONLY)

A1. Purpose

Seller Quality protects buyers and the Marketplace by measuring and enforcing on-time delivery, file usability, listing accuracy, and Seller cooperation with Platform-managed resolution.

A2. Measurement Window

Unless PartyTopiie specifies otherwise, metrics are calculated on a rolling 30-day basis. PartyTopiie may apply minimum order counts before scoring.

A3. Core Metrics

1) On-Time Digital Delivery Rate

Percentage of Orders delivered within the listing's promised time. If no time is stated, PartyTopiie may apply a baseline standard of delivery within 24 hours after Seller receives all required Buyer Data.

2) File Defect Rate

Percentage of Orders with files that are corrupted, unusable, in the wrong format, missing key components, or otherwise defective.

3) Significant Mismatch Rate

Percentage of Orders where the delivered product materially differs from the listing description or preview, including wrong theme/design or missing core components.

4) Seller-Fault Customization Error Rate

Percentage of Orders with personalization errors caused by Seller, excluding errors caused by Buyer-provided data that Seller followed or Buyer-approved proofs.

5) Platform Request SLA Compliance

Percentage of Platform support requests where Seller responds within 12 hours and completes required corrective actions within required timelines, including the 12-hour correction requirement.

A4. Tiers and Actions

PartyTopiie may assign Seller Quality tiers and apply benefits or restrictions, including search visibility, promotion eligibility, payout timing, and reserves. PartyTopiie may adjust metric definitions, thresholds, and tier rules as needed.

A5. Corrective Actions

Depending on severity and frequency, PartyTopiie may apply one or more actions: coaching, required improvement plans, reduced visibility, promotion restrictions, payout holds/reserves, listing removal, temporary suspension, or termination.

A6. Immediate Action Events

PartyTopiie may apply immediate restrictions or suspension for fraud, off-platform diversion, serious infringement, abusive conduct, malicious files, or misuse of Buyer Data.
